These Terms of Service (“Terms”) govern your access to and use of Strategic Pursuit (the “Service”), operated by DuBois Company (“Strategic Pursuit,” “we,” “us”). By creating an account, starting a trial, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind it, and “you” means that organization.
1.The Service, in plain terms
What the Service is. Strategic Pursuit turns one entity name — a U.S. city or a degree-granting institution — into a ranked, cited federal-funding dossier: real programs scored against statutory eligibility, with numbers folded in server-side from official federal databases, every designation citing its statute and every program showing its source and last-verified date.
What the Service is not. Strategic Pursuit is a decision-support instrument, not a grant writer, a guarantee of funding, or a substitute for your own professional judgment, legal counsel, or direct confirmation with an administering agency. Eligibility scoring applies the rules encoded from each program's statute; it does not constitute a determination by any federal agency. You remain responsible for what you submit and cite. We give you a defensible read — you make the call.
2.Accounts, eligibility, and team members
- You must provide accurate account information, verify your email, and keep your credentials secure. You are responsible for activity under your account.
- The Service is for professional, business use by funding applicants — U.S. cities and the civil-infrastructure/AEC firms that serve them, and degree-granting institutions of higher education. It is not intended for, and we do not knowingly provide it to, consumers acting in a personal capacity or to children.
- You may invite team members up to your plan's seat limit. The account owner (tenant administrator) is responsible for members' use and for managing access. You may not share a single seat among multiple people.
- You must notify us promptly of any unauthorized use at security@strategicpursuit.ai.
3.Acceptable use
You agree not to:
- reverse-engineer, scrape, bulk-export, or build a competing product from the Service or its data, or circumvent rate limits, seat limits, or usage throttles (including the per-hour run throttle);
- misrepresent a Strategic Pursuit dossier as an official determination of any federal, state, or local agency, or remove or alter source citations, last-verified dates, or required attributions when you reproduce our output;
- reproduce, add, or imply any federal or other government seal, badge, flag, or insignia in connection with the Service or its output (we use plain-text agency names only, and so must you);
- upload unlawful, infringing, or malicious content, or submit student-level or other prohibited sensitive data;
- use the Service to violate any applicable law, grant program rule, or third-party data-source terms (including the Grants.gov API terms); or
- resell, sublicense, or provide the Service to third parties except as your plan expressly permits (for example, an AEC firm preparing a dossier for its own client engagement).
We may suspend access to protect the Service or other users if we reasonably believe these rules are being broken.
4.Subscriptions, billing, trial, and renewal
- Trial. The Service offers a 30-day trial with no credit card required, limited to 3 runs and 1 seat. Trials are for evaluation; we may modify or end the trial program at any time.
- Paid plans. Subscriptions are offered as Practice ($15,000/year, up to 5 users, 30 runs/month), Growth ($45,000/year, up to 20 users, 150 runs/month, plus alerts and comparative dossiers), and Enterprise (custom pricing — SSO, read-only API, white-label). Optional Engagement Services are available separately ($25,000–$100,000). Current terms, limits, and prices are shown at /pricing and control if they differ from the examples here.
- Billing cycle. Plans are billed annually or monthly through Stripe. Annual billing carries an approximately 17% discount versus monthly. Fees are stated exclusive of taxes, which you are responsible for.
- Auto-renewal. Subscriptions renew automatically for successive terms at the then-current price unless you cancel before the renewal date. Cancel anytime in Settings → Billing or via the Stripe customer portal; cancellation takes effect at the end of the current paid term.
- Refunds. Except where required by law or expressly stated in an order form, fees are non-refundable and there are no credits for partial periods or unused runs. Overages, plan changes, and proration are handled per /pricing and your order form.
- Past-due accounts. If a payment fails, we may suspend or limit access after notice until the balance is cured.
5.Planning-purposes disclaimer and no warranty
Information is for planning purposes. The following disclaimer is presented with every dossier and is part of these Terms:
“Information shown is for planning purposes. Verify all eligibility, deadlines, and requirements directly with the administering agency before applying.”
No warranty. The Service and all output are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We design the Service to be defensible — eligibility runs through a pure-logic statutory scorer, dossier facts are re-fetched server-side from official sources, stale data is demoted or hidden, and discontinued programs are never surfaced — but federal programs, deadlines, and data change, and source systems can be incomplete or wrong. We do not warrant that any matched program will be available, that you will be eligible or funded, that deadlines or amounts are current, or that the Service will be uninterrupted or error-free. You are responsible for verifying every fact with the administering agency before you act on it.
6.Intellectual property and your data
Our IP. The Service, including its software, scoring logic, knowledge base, designs, and brand (the Strategic Pursuit name and reticle mark), is owned by us or our licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, solely for your internal business purposes and any client engagement your plan permits.
Your data. You retain ownership of the account information and entity inputs you provide. You grant us a limited license to process them solely to provide, secure, and improve the Service as described in our Privacy Policy. We do not claim ownership of your dossiers' use within your work product.
Federal and third-party data. The federal data inside a dossier originates from official public sources and is generally not owned by us. Where you reproduce dossier content, you must keep source citations, last-verified dates, and required attributions intact, including, wherever Grants.gov data appears:
This product uses the Grants.gov API but is not endorsed or certified by the U.S. Department of Health and Human Services.
Feedback. If you send us feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.
7.Limitation of liability and indemnity
Limitation of liability. To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnity. You will defend and indemnify us against third-party claims arising from your misuse of the Service, your violation of these Terms or applicable law, or content you submit, to the extent permitted by law. Enterprise order forms may add a reciprocal IP-infringement indemnity from us where negotiated.
8.Term, suspension, and termination
- These Terms apply while you use the Service. You may stop and cancel at any time as described in Section 4.
- We may suspend or terminate your access for material breach of these Terms (including the acceptable-use rules), non-payment after notice, or if required by law — with notice where practicable.
- On termination, your right to use the Service ends. We will make your account data available for export for a reasonable period and then delete it per our Privacy Policy, unless we must retain it for legal reasons.
- Sections that by their nature should survive termination — including disclaimers, IP, limitation of liability, indemnity, and governing law — survive.
9.Changes, governing law, and disputes
Changes to these Terms. We may update these Terms as the product and the law evolve. We'll post the new version with an updated effective date and, for material changes, notify you in advance. Continued use after a change takes effect means you accept it.
Governing law and disputes. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware. We have not adopted mandatory binding arbitration or a class-action waiver. Where a public-entity buyer's procurement rules require a different governing law or venue, the order form for that customer controls. (Counsel should confirm the governing-law and venue choice for your entity before publication.)
Miscellaneous. These Terms, the Privacy Policy, /pricing, and any order form are the entire agreement between us. If a provision is unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
